Innovasea Software Solutions Acceptable Use Policy

This Acceptable Use Policy (“AUP”) outlines unacceptable use of Innovasea’s downloadable and online software products (the “Software Solutions”). This AUP is in addition to any other terms and conditions entered into by and between the entity that has authorized you to use the Software Solutions (the “Purchaser”) and Innovasea (collectively, the “Master Terms”).

Innovasea may modify this AUP from time to time by posting a new version of this document on the Innovasea website at www.innovasea.com/acceptable-use-policy.

If you have questions about this AUP (e.g., whether any contemplated use is permitted) or to report a violation of this AUP, please direct your communication to privacy@innovasea.com.

Your failure to comply with this AUP constitutes a breach of the Master Terms by Purchaser and may result in suspension or termination of your access to the Software Solutions, or Innovasea’s termination of the Master Terms, or both.

Prohibited content, uses, and activities include, without limitation, any use of the Software Solutions in a manner that, in Innovasea’s reasonable judgment, involves, facilitates, or attempts any of the following:

  • violating any law, rule, or regulation;
  • infringing, violating or misappropriating another’s rights, including intellectual property rights and privacy rights;
  • displaying, performing, sending, receiving or storing any content that is obscene, inappropriate, offensive, or otherwise objectionable, even if the material or its dissemination is lawful;
  • harassing any person or advocating or encouraging violence of any kind against any person, entity, or government;
  • obtaining unauthorized access to, or interfering by any means with, any user, system, network, service, or account, including evasion of filters or violation of the security or integrity of any network or system;
  • distributing computer viruses or malware of any kind;
  • sending, receiving or supporting email messages that are unsolicited, deceptive, anonymous, excessively voluminous or that contain falsified identifying information, including spamming and phishing;
  • using the Software Solutions except as set forth in the applicable documentation for Purchaser’s internal business purposes;
  • copying the Software Solutions, in whole or in part;
  • modifying, translating, adapting, or otherwise creating derivative works or improvements, whether or not patentable, of the Software Solutions or any part thereof;
  • combining the Software Solutions or any part thereof with, or incorporating the Software Solutions or any part thereof in, any other programs;
  • reverse engineering, disassembling, decompiling, decoding, or otherwise attempting to derive or gain access to the source code of the Software Solutions or any part thereof;
  • removing, deleting, altering, or obscuring any trademarks or any copyright, trademark, patent, or other intellectual property or proprietary rights notices included on or in the Software Solutions, including any copy thereof;
  • renting, leasing, lending, selling, sublicensing, assigning, distributing, publishing, transferring, or otherwise providing any access to or use of the Software Solutions or any features or functionality of the Software Solutions, for any reason, to any other person or entity, including any subcontractor, independent contractor, affiliate, or service provider of Purchaser, whether or not over a network and whether or not on a hosted basis, including in connection with the internet, web hosting, wide area network (WAN), virtual private network (VPN), virtualization, time-sharing, service bureau, software as a service, cloud, or other technology or service;
  • using the Software Solutions for purposes of competitive analysis of the Software Solutions, the development of a competing software product or service, or any other purpose that is to the Innovasea’s commercial disadvantage.
  • using the Software Solutions in, or in association with, the design, construction, maintenance, or operation of any hazardous environments or systems, including:
    • power generation systems; (without the express permission of Innovasea)
    • aircraft navigation or communication systems, air traffic control systems, or any other transport management systems;
    • safety-critical applications, including medical or life-support systems, vehicle operation applications, or any police, fire, or other safety response systems; and
    • military or aerospace applications, weapons systems, or environments.
